DEFINITIONS 

Parties: “You” and “your” refer to you, as a user of the Service. A “user” is someone who accesses or in any way uses the Service. “We,” “us,” and “our” refer to Multifame and its subsidiaries.

Content: “Content” means text, images, photos, audio, video, and all other forms of data or communication. “Your Content” means Content that you submit or transmit to, through, or in connection with the Service, such as ratings, reviews, photos, videos, compliments, invitations, check-ins, votes, friending and following activity, direct messages, and information that you contribute to your user profile or suggest for a business page. “User Content” means Content that users submit or transmit to, through, or in connection with the Service. “Multifame Content” means Content that we create and make available in connection with the Service. “Third-Party Content” means Content that originates from parties other than Multifame or its users, which is made available in connection with the Service. “Service Content” means all of the Content that is made available in connection with the Service, including Your Content, User Content, Multifame Content, and Third-Party Content.

Agreement

Partners are and will be subject to agreement with the terms as mentioned in this agreement. This agreement will form a legally binding contract between “YOU,” the user of any web applications, apps, and network sites in the present or future. If you do not agree to these terms, then do not indicate acceptance and do not use the product and services provided by Multifame. If you agree to these terms on behalf of a legal entity, you are stipulating that you have the authority to represent them and to bind that legal entity to these terms.

Terms of services

This General Terms of Services (“TOS”) may be modified or amended periodically by Multifame as deemed necessary. It is defined as below and is applicable for the use of any of Multifame’s products, services, solutions, tools, or licenses (collectively, “you” or “your” or on behalf of a legal entity or “subscribers” or “members”). This TOS governs your use of all Multifame Online Marketing Ltd products and services, any website services, tools, and solutions, so please read it carefully. This TOS was first published on November 1st, 2014, and is periodically updated. The “Effective Date” of this TOS is the date on which YOU sign and accept the TOS in your personal capacity or representing a legal entity.

Additional Terms: Multifame provides a wide variety of services, solutions, tools, and partner solutions Multifame Pages (Business Directory) to the public, government, consumers, and business users (“subscribers” or “members”). Some services are subject to additional terms, which are either presented at the time of use of the requested service or listed below. If you are using or wish to make use of any of the services, solutions, tools, and partner solutions and applications provided through Multifame , please refer to the respective Terms of Services link below to access those additional terms. In case of a conflict between these TOS and/or additional terms for a particular service, these terms will be applicable for that service. You may not use any of these services, solutions, tools, and partner solutions and applications unless you agree to the applicable additional terms.

Content

All content, whether privately transmitted through our forms, via emails, or any source of communication, is the sole responsibility of the person who originated such content. Multifame cannot guarantee the authenticity of any content or data that users may provide about themselves. You acknowledge that accessing any content using the service is at your own risk, and you will be solely responsible and liable for any damage or loss to you or any other party resulting from it. For the purposes of these Terms of Use, the term “Content” includes, without limitation, any location information, “shouts,” videos, audio clips, images, comments, information, data, text, photographs, software, scripts, graphics, and interactive features generated, provided, or otherwise made accessible to Multifame on or through the services. Content you send, add, create, upload, submit, distribute, post, or otherwise obtain through your use of the services, including content that you add to the services if you link your accounts to third-party websites and services, is collectively referred to as “User Submissions.”

Our Right to Use Your Content for Multifame:

We may use Your Content in a number of different ways, including by publicly displaying it, reformatting it, incorporating it into advertisements and other works, creating derivative works from it, promoting it, distributing it, and allowing others to do the same in connection with their own websites and media platforms (“Other Media”). As such, you hereby irrevocably grant us world-wide, perpetual, non-exclusive, royalty-free, assignable, sublicensable, transferable rights to use Your Content for any purpose. Please note that you also irrevocably grant the users of the Service and any Other Media the right to access Your Content in connection with their use of the Service and any Other Media. Finally, you irrevocably waive, and cause to be waived, against Multifame and its users any claims and assertions of moral rights or attribution with respect to Your Content. By “use” we mean use, copy, publicly perform and display, reproduce, distribute, modify, translate, remove, analyze, commercialize, and prepare derivative works of Your Content.

User Submissions

Multifame may use your User Submissions in various ways, as determined by Multifame at its sole discretion. This includes publicly displaying, reformatting, incorporating into marketing materials, advertisements, and other works, creating derivative works, promoting, and distributing. By submitting User Submissions, you grant Multifame a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to host, use, store, copy, edit, modify, reproduce, distribute, prepare derivative works, display, perform, and fully exploit the User Submissions and any content you submit for business purposes in connection with Multifame’s businesses.

This license allows Multifame to promote and redistribute parts or all of the Sites and Services through various media formats and channels, including third-party websites. Each user of Multifame’s Sites and/or Services, including Third-Party Media, is also granted a non-exclusive license to access and use your User Submissions.

You retain ownership and license rights in your User Submissions, and you represent and warrant that you have the right to grant such a license without infringing any third-party rights. Multifame does not guarantee the identity of other users, is not liable for fake information, and only uses the content you provide for more professional content writing without adding additional content.

When you request the deletion of your User Submissions, they will be removed from the business page. However, removed User Submissions may persist in backup copies for a reasonable period or remain with users or third parties who previously accessed or downloaded them.

Rules and Conduct

As a user of our Services, you agree to abide by the following rules and conduct, and you shall not use the Services for any purpose that violates these Terms of Use. Your activities on the Services are your sole responsibility, and you must comply with all applicable local, state, national, and international laws and regulations. If you represent a business, you must also adhere to any advertising, marketing, privacy, or other self-regulatory codes applicable to your industry.

You shall not (and shall not permit any third party to):

• Infringement: Engage in any action or distribute any Content, including User Submissions, that infringes upon any patent, trademark, trade secret, copyright, right of publicity, or other rights of any person or entity, or violates any law or contractual duty.
• False Information: Knowingly submit false, misleading, untruthful, or inaccurate information.
• Unlawful or Inappropriate Content: Post or distribute any Content that is unlawful, threatening, abusive, harassing, defamatory, predatory, stalking, libelous, deceptive, fraudulent, invasive of privacy, tortious, obscene, vulgar, pornographic, offensive, profane, contains nudity, sexual activity, promotes bigotry, discrimination, violence, or is otherwise inappropriate or objectionable, as determined by Multifame in its sole discretion.
• Spamming: Engage in unauthorized or unsolicited advertising, junk or bulk e-mail (“spamming”).
• Commercial Activities: Conduct commercial activities (whether or not for profit) and/or sales without Multifame’s prior written consent, including contests, sweepstakes, barter, advertising, or pyramid schemes.
• Malicious Software:Upload or distribute software viruses or any other computer codes, files, worms, logic bombs, or programs designed to disrupt, disable, damage, limit, or interfere with the proper function of any software, hardware, or telecommunications equipment or to obtain unauthorized access to any system, data, password, or other information of Multifame or any third party.
• Impersonation:Impersonate any person or entity, including any employee or representative of Multifame.
• Identification Documents: Post anyone’s identification documents or sensitive information.
• Privacy Policy Violation:Breach the Privacy Policy, the House Rules, and/or any other policies and rules incorporated herein.

Photo Best Practices for Multipiks

Capturing great photos is more art than science, and we’ve compiled some tips to help ensure your photos shine on Multipiks.

• Lighting and Framing: Embrace good lighting and framing to make your photos visually appealing. Remember, people love to see beautiful things.
• Originality:Share your photos, not someone else’s. Showcase your unique perspective and experiences.
• Appropriateness: Keep it suitable for all audiences. Avoid nudity, offensive content, spam, or anything that may be considered inappropriate. If it wouldn’t pass The New York Times’ standards, it’s probably not suitable for Multipiks.
• Respectful Content: Refrain from capturing photos that include people’s private information, such as credit card numbers or phone numbers. Respect others’ privacy preferences and only upload photos of individuals who consent. Imagine how you’d feel if your private information were shared.
• Be Yourself:Multipiks is a community of individuals, and your contribution matters. Have fun, express yourself through your photos, and be an active part of the community.

If a User Submission includes a photograph, Multipiks’ Photo Guidelines will be applied. Multipiks strictly prohibits child pornography and will promptly terminate and report any user engaging in such activities.

Users must not:

• Undertake any action that unreasonably or disproportionately burdens Multipiks’ (or its third-party providers’) infrastructure, as determined by Multipiks at its sole discretion.
• Interfere or attempt to interfere with the proper functioning of the Service or any activities conducted on the Service.
• Circumvent measures Multipiks may employ to prevent or restrict access to the Service (or other accounts, computer systems, or networks connected to the Service).
• Engage in any form of auto-responder or spam on the Service.
• Use manual or automated software, devices, or other processes to crawl or spider any page of the Site.
• Harvest or scrape any Content from the Service.
• Modify, adapt, appropriate, reproduce, distribute, translate, create derivative works, or publicly display, republish, repurpose, sell, trade, or exploit the Service or Site Content (other than your User Submissions) except as expressly authorized by Multipiks.
• Decipher, decompile, disassemble, reverse engineer, or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Service (including any application or widget) except to the limited extent applicable laws specifically prohibit such restrictions.
• Copy, rent, lease, distribute, or otherwise transfer any of the rights you receive hereunder.
• Use the Services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying our services or that could damage, disable, overburden, or impair the functioning of our services in any manner.
• Otherwise take any action in violation of Multipiks’ guidelines and policies.

Multifame does not guarantee the availability of any Content or User Submission on the Site or through the Service. While Foursquare is not obligated to monitor Sites, Services, Content, or User Submissions, it reserves the right to:

• Remove, suspend, edit, or modify any Content, including User Submissions, at its sole discretion, without notice and for any reason.
• Access, read, preserve, and disclose information reasonably believed to be necessary for legal compliance, enforcement of these Terms of Use, fraud detection, security or technical issues, user support requests, or protection of the rights, property, or safety of Multifame, its users, and the public.

Special Terms for Business Pages

If you maintain a “Business Page” on the Service, you agree to adhere to the following:

Nature of Pages:

Business Pages are designated profiles specifically intended to promote a business, commercial enterprise, political campaign, charitable organization, or similar endeavors (including non-profit organizations, political campaigns, bands, and celebrities).

Page Administration:

You may only manage a Business Page if you are an authorized representative of the subject of the Page.

Content Accessibility:

All Content posted on Business Pages will be accessible to all users of the Multifame Services.

Advertisement Restrictions:

You may not display any Content on your Business Page that functions as an advertisement or could be interpreted as such.

Page Governance:

You may not establish terms beyond those outlined in these Terms of Use to govern the use of the Business Page you administer.

Restrictions on Promotions:

Your Business Page must not be primarily or substantially utilized to promote or advertise alcohol or tobacco products, firearms, or other items or services that may not be legally purchased or used by minors.

User Information Collection:

If you gather information about users, you shall use such information solely for your internal business purposes related to your use of the Service and in accordance with Multifame’s Privacy Policy.

Fair Practices:

You shall not employ deceptive practices to encourage users to “like” or “review” your Business Page.

Compliance Responsibilities:

You are accountable for ensuring that your Business Page, along with any Content you post on it, complies with all relevant laws, rules, and regulations, as well as these Terms of Use. Additionally, your Business Page must adhere to any applicable advertising, marketing, privacy, or other self-regulatory codes relevant to your industry.

Special Terms for Developers on Multifame

Advertisements and Promotions:

Within the Multifame ecosystem, the following terms apply to developers:

• Third-Party Advertisements and Promotions:

Some of our Apps may feature advertisements and promotions from third parties in connection with the Services. Additionally, certain Apps may provide information or links to third-party products or services. Your interactions, transactions, or engagement with these third parties, along with any associated terms, conditions, warranties, or representations, are exclusively between you and the respective third party.

• Dealing with Third Parties:

Multifame is not responsible or liable for any loss or damage of any nature arising from your business dealings, correspondence, or participation in promotions with third parties. This includes any issues related to the terms, conditions, warranties, or representations associated with such dealings or promotions.

• Non-Multifame Advertisers:

Presence of non-Multifame advertisers or third-party information on the Services does not imply endorsement or responsibility by Multifame. Any consequences or issues arising from such non-Multifame entities are your sole responsibility, and Multifame holds no liability for any resulting loss or damage.

Third Party Sites and Services 

The Multifame Service may enable you to link to external websites, services, or resources on the Internet, and these external entities may, in turn, contain links to Multifame. Your access to third-party websites is undertaken at your own risk. Each party’s terms will govern their respective relationship with you. Multifame does not have control over these external websites, and you acknowledge that Multifame bears no responsibility or liability for the content, functionality, accuracy, legality, appropriateness, or any other aspect of such websites or resources.

The inclusion of any link does not constitute an endorsement by Multifame or any affiliation with its operators. You further acknowledge and agree that Multifame is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any such external website or resource.

Warranty Disclaimer for Multifame

Multifame maintains no special relationship or fiduciary duty to you. You acknowledge that Multifame has no control over, and no obligation to take action regarding: which users access the Services; the Content you access via the Services; potential effects of the Content on you; how you interpret or use the Content; or the actions you may take as a result of exposure to the Content.

By using Multifame, you release the platform from all liability associated with your acquisition or non-acquisition of Content through the Services. The Services may include or direct you to websites containing information that some individuals may find offensive or inappropriate. Multifame makes no representations regarding the Content accessed through the Services and will not be responsible or liable for the accuracy, copyright compliance, legality, or decency of material accessed through the Service.

You release Multifame from all liability related to your connections and relationships with other users of the platform. You understand that Multifame does not screen users, inquire into their backgrounds, or attempt to verify their statements. Multifame makes no representations or warranties about user conduct or the accuracy of user-provided information. In no event shall Multifame be liable for any damages arising out of or relating to user conduct, including bodily injury, emotional distress, or damages resulting from communications or meetings with users. You agree to take reasonable precautions and exercise care in all interactions with individuals through the Services, especially if you decide to meet them in person. For instance, you should never provide your financial information (e.g., credit card or bank account numbers) to other individuals under any circumstances.

Indemnification for Multifame

You agree to indemnify, defend, and hold harmless Multifame, its parents, subsidiaries, affiliates, any related companies, suppliers, licensors and partners, and the officers, directors, employees, agents, contractors and representatives of each of them (collectively, the “Multifame Entities”) from and against any and all third party claims, actions, demands, losses, damages, costs, liabilities and expenses (including but not limited to attorneys’ fees and court costs) arising out of or relating to: (i) your access to or use of the Service, including Your Content, (ii) your violation of the Terms, (iii) your breach of your representations and warranties provided under these Terms, (iv) any products or services purchased or obtained by you in connection with the Service, (v) your products or services, or the marketing or provision thereof to end users, or (vi) the infringement by you, or any third party using your Account, of any intellectual property or other right of any person or entity. Multifame reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate with our defense of these claims. You agree not to settle any such matter without the prior written consent of Multifame. Multifame will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

Miscellaneous for Multifame

Multifame shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Multifame’s reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation (including “line-noise” interference). These Terms of Use are personal to you and are not assignable, transferable, or sublicensable by you except with Multifame’s prior written consent. Multifame may assign, transfer, or delegate any of its rights and obligations hereunder without consent. No agency, partnership, joint venture, or employment relationship is created as a result of these Terms of Use, and neither party has any authority of any kind to bind the other in any respect.

Language for Multifame

Where Multifame has provided you with a translation of the English language version of these Terms of Use, then you agree that the translation is provided for your convenience only and that the English language versions of the Terms will govern your relationship with Multifame.

If there is any contradiction between what the English language version of these Terms of Use says and what a translation says, then the English language version shall take precedence.

Suggestions and Improvements

By sending us any ideas, suggestions, documents, or proposals (“Feedback”), you agree that

(i) your Feedback does not contain any third party confidential or proprietary information, (ii) we are under no obligation of confidentiality, express or implied, with respect to the Feedback, (iii) we may have something similar to the Feedback already under consideration or in development, (iv) we have no obligation to review, consider, or implement the Feedback, or to return to you all or part of the Feedback, and (v) you grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide, assignable, sublicensable, transferable license to use, modify, prepare derivative works of, publish, distribute and sublicense the Feedback, and you irrevocably
